A free zone company is a licensed operating entity. It can hold a facility, sponsor residence visas and trade within its permitted activities. An offshore company is generally used for holding assets or international activity and does not normally provide residency eligibility or a UAE operating licence.
The right choice depends on whether you need residency, a physical or flexi facility, local invoicing, or simply a holding vehicle. Decide the commercial requirement first, then match the structure to it — not the other way round.
